TERMS OF USE

THIS IS A LEGALLY BINDING AGREEMENT (THE “AGREEMENT”) BETWEEN YOU AND THE PEOPLE SKILLS GROUP (“PSG”).  PLEASE READ IT CAREFULLY TO FULLY UNDERSTAND THE PROVISIONS CONTAINED HEREIN.

Acceptance of these Terms is a prerequisite to Your use and use by anyone You grant access to the following products, including: (1) Jungian Function Image Metaphor Cards, (2) Image Metaphor Cards Quick Start Guides, (3) Image Metaphor Classroom Table Toppers, (4) Image Metaphor Type Wall Poster, (5) Image Metaphor Function-Attitude Mind Map, (6) Image Metaphor Classroom Training Posters, and (7) any other product offered by PSG (collectively, the “Products”). [1] You may not use the Products if You do not accept these Terms.

  1. Restrictions: You may not rent, lease, license, disclose, or give the Products to any person or organization, or use the information contained in the Products for the benefit of any third party or for any purpose other than as specified in this Agreement unless PSG expressly authorizes such use in writing. This includes reproduction, duplication, copying, selling, trading, or reselling the Products.  You agree to take all reasonable steps to prevent unauthorized use, distribution, duplication, or otherwise of the Products.  Except as specified, this Agreement does not grant You any rights to any copyrights, trade secrets, trade names, trademarks, or any other intellectual property rights or licenses with respect to the Products.
  2. Additional Restrictions: In no event shall You or cause anyone other than You (whether under Your control or otherwise) duplicate, modify, or create a derivative work of any of the Products.
  3. Assignment: Your right to use the Products is not assignable or delegable by You, in whole or in part, without PSG’s prior written consent. Any attempt to do so without PSG’s express written consent shall be null and void.
  4. EXCLUSIONS OF WARRANTIES: NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT PSG’S WARRANTY OR LIABILITY FOR LOSS THAT MAY NOT BE LAWFULLY EXCLUDED OR LIMITED BY APPLICABLE LAW.
    1. YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE PRODUCTS IS AT YOUR SOLE RISK AND THAT THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
    2. IN PARTICULAR, PSG DOES NOT REPRESENT OR WARRANT THAT YOUR USE OF THE PRODUCTS WILL MEET YOUR REQUIREMENTS
    3. PSG FURTHER EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  5. LIMITATION OF REMEDIES: PSG’S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY FOR ANY CLAIMS CONCERNING THE PRODUCTS ARE SET FORTH IN THIS SECTION. NOTWITHSTANDING ANYTHING TO THE CONTRARY PSG SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS) SUSTAINED OR INCURRED IN CONNECTION WITH USE OF THE PRODUCTS REGARDLESS OF THE FORM OF ACTION AND WHETHER OR NOT SUCH DAMAGES ARE FORESEEABLE.  PSG SHALL NOT BE LIABLE FOR ANY CLAIM BY YOU BASED ON ANY THIRD PARTY CLAIM.  IN NO EVENT SHALL PSG’S TOTAL LIABILITY EXCEED THE AMOUNT OF FEES PAID TO PSG UNDER THIS AGREEMENT.
  6. Proprietary Rights:
    1. You acknowledge and Agree that PSG owns all legal right, title, and interest in the Products, including any intellectual property rights, which subsist in the Products (whether those rights happen to be registered or not) and agree not to contest PSG’s intellectual property rights therein.
    2. Nothing in this Agreement gives You a right to use any of PSG’s trade names, trademarks, service marks, logos, domain names, and other distinctive brand features.
    3. You agree that You shall not remove, obscure, or alter any proprietary rights notices (including copyright and trademark notices) that may be affixed to or contained within the Products.
    4. Nothing in this Agreement gives You a right to use any of PSG’s copyrighted material other than for the express purpose for which the Product(s) is designed and as provided in Your order form.
  7. Choice of Law: This Agreement will be covered by the Laws of the State of Pennsylvania as applied to transactions taking place entirely in Pennsylvania between Pennsylvania residents.

[1] All rights, title, and interest in any third-party product offered for sale by PSG shall remain the exclusive property of such third party.
